Terms of Service — Shifu Media

1. Acceptance of Terms

By accessing or using the Shifu Media website (shifumedia.com) or engaging our services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

2. Services

Shifu Media provides web design, development, 3D/interactive experiences, e-commerce solutions, and related digital services. The specific scope, deliverables, timeline, and fees for each project are defined in a separate Statement of Work or project agreement signed by both parties.

3. Payment Terms

Unless otherwise agreed in writing, our standard payment structure is:

50% deposit due at project kickoff
25% due upon design approval
25% due upon project launch

All invoices are due within 7 days of issue. Late payments may incur a 2% monthly fee. Work may be paused on accounts with outstanding balances exceeding 14 days.

4. Client Responsibilities

Clients are responsible for:

Providing accurate briefs, content, assets, and feedback in a timely manner
Ensuring all content supplied does not infringe third-party intellectual property rights
Designating a single point of contact for project communications
Reviewing and approving deliverables within agreed timeframes

Delays caused by the client may result in revised timelines and additional costs.

5. Intellectual Property

Upon receipt of full payment, the client is granted full ownership of the final delivered work product, including custom design and code created specifically for the project.

Shifu Media retains the right to display the completed work in our portfolio and marketing materials unless the client requests otherwise in writing prior to project commencement.

Third-party assets (fonts, stock images, plugins, libraries) remain subject to their respective licences and are not transferred to the client.

6. Revisions & Scope

Each project includes a defined number of revision rounds as specified in the project agreement. Requests that fall outside the agreed scope will be quoted separately and require written approval before work begins.

7. Cancellation & Refunds

If a client cancels a project after work has commenced, the deposit is non-refundable. Any work completed beyond the deposit value will be invoiced at our standard hourly rate.

Shifu Media reserves the right to terminate a project if the client is unresponsive for more than 30 consecutive days, or if the working relationship becomes untenable. In such cases, payment for all completed work is due immediately.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the project. This obligation survives termination of the project.

9. Limitation of Liability

Shifu Media's total liability to the client for any claim arising from our services shall not exceed the total fees paid by the client for the specific project in question.

We are not liable for any indirect, incidental, or consequential damages, including lost profits or business interruption, even if advised of the possibility of such damages.

10. Website Use

You agree not to use this website to:

Transmit unlawful, harmful, or offensive content
Attempt to gain unauthorised access to any part of the site
Scrape, copy, or reproduce site content without written permission

We reserve the right to restrict access to anyone who violates these terms.

11. Governing Law

These Terms are governed by the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Indore, Madhya Pradesh, India.

12. Changes to These Terms

We may revise these Terms of Service at any time. Updated terms will be posted on this page with a revised "Last updated" date. Continued use of our website or services after changes constitutes acceptance.
